The principles of insolvency
The principles of insolvency form the backbone of the process of managing a debtor's financial difficulties. They seek to balance the interests of the various parties involved, to ensure a fair distribution of assets, to promote transparency and legality and, in certain cases, to offer the debtor a chance of rehabilitation.
Understanding these principles is essential for everyone involved in insolvency proceedings, from debtors and creditors to insolvency practitioners and the courts. Here are some of the fundamental principles underlying the insolvency procedure:
Ensuring an efficient procedure, including through adequate communication mechanisms and the conduct of the procedure within a useful and reasonable time, in an objective and impartial manner, at a minimum of cost
Basing the vote on the approval of the reorganisation plan on clear criteria, ensuring equal treatment between creditors of the same rank, knowledge of comparative priorities and acceptance of a majority decision, with the other creditors to be offered payments equal to or greater than they would receive in bankruptcy
Ensuring a high degree of transparency and predictability in the procedure
Ensuring access to sources of financing in insolvency prevention procedures, during the observation and reorganisation periods, with the creation of an adequate regime for protecting these claims
Ensuring equal treatment of creditors of the same rank
Giving debtors a chance of efficient and effective recovery of the business, either through insolvency prevention procedures or through the judicial reorganisation procedure
Maximising the degree of recovery of assets and collection of claims
Recognising the existing rights of creditors and observing the order of priority of claims, based on a clearly determined and uniformly applicable set of rules
Administration of insolvency prevention and insolvency procedures by insolvency practitioners and their conduct under the control of the court
Limiting credit risk and the systemic risk associated with transactions in derivative financial instruments by recognising close-out netting in the event of the insolvency of a counterparty or of an insolvency prevention procedure, with the effect of reducing credit risk to a sum already owed between the parties or even to zero when, to cover the net exposure, financial collateral has been transferred
Recovery of assets in a timely fashion and in the most efficient manner
Favouring, in insolvency prevention procedures, the amicable negotiation or renegotiation of claims and the conclusion of a preventive concordat
